Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Ledgerly ("Ledgerly," "we," "us") governing your access to and use of the Ledgerly application, website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Ledgerly lets you manually record and organize financial information you provide — accounts, transactions, budgets, and savings goals ("pots") — and offers an AI-powered "coach" feature that answers questions and, with your explicit approval, can make specific changes to your budgets and pots on your behalf.

Optionally, you may connect a bank account to retrieve read-only balance and transaction data via a third-party provider (Stripe Financial Connections or SimpleFIN / SimpleFIN Bridge). Ledgerly does not initiate transfers, move real money, or have write access to any financial institution. We only retrieve and store balances and transactions; you remain responsible for keeping this data up to date.

Ledgerly relies on third-party services to provide certain features. By using the Service, you agree to comply with and be bound by the terms of service and privacy policies of:

These third parties may collect and process data according to their own policies. Ledgerly is not responsible for their practices, data handling, or security.

• The AI coach generates responses using a third-party language model and the financial data you have stored in Ledgerly. Responses may be inaccurate, incomplete, or unsuitable for your situation.
• The coach cannot modify your data on its own. Any proposed change (for example, setting a budget limit, creating a pot, or moving money between pots) is shown to you as a card requiring your explicit "Approve" action before anything is written to your account. You may dismiss any proposal.
• You are solely responsible for reviewing and approving — or rejecting — any action the coach proposes. We are not liable for changes you approve, including mistaken approvals.
• You can revoke or clear the coach's conversation history at any time from within the app.

Ledgerly and its AI coach are informational tools only. Nothing in the Service constitutes financial, investment, tax, accounting, or legal advice, and no advisor-client or fiduciary relationship is created by your use of the Service. See our Disclaimer for details. Consult a licensed professional before making financial decisions.

• Enter accurate information and keep it up to date; Ledgerly cannot verify data you provide.
• Use the Service only for lawful, personal, non-commercial budgeting purposes.
• Do not attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service or other users’ data.
• Do not use the Service to store data on behalf of another person without their consent.

Our collection and use of your information is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time.

To the fullest extent permitted by law, Ledgerly and its owners, contributors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or financial loss, arising from or related to your use of, or inability to use, the Service — including any action taken (or not taken) based on the AI coach's output, whether or not you approved it. Our aggregate liability for any claim will not exceed the amount you paid us, if any, in the twelve months preceding the claim.

You agree to indemnify and hold Ledgerly harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms.

You may stop using the Service and delete your account at any time. We may suspend or terminate access for any violation of these Terms. Sections that by their nature should survive termination (including Sections 5, 9, and 10) will survive.

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

In the event of an actual or suspected breach of personal or financial data, we will notify affected users without unreasonable delay and in accordance with applicable law (including GDPR, CCPA, and other breach notification laws). Notifications will be sent to the email address associated with your account.

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, except to the extent applicable law in your jurisdiction requires otherwise.
